Accounting Firm MergerThis well established and national firm is expanding steadily in the main centres and also in other areas. They are always looking for more opportunities where they can either buy into your firm and exit a partner or assist you with some cash for a portion of the business. They are also consolidating in over 30 areas, and this opens up merger opportunities. If you are aspiring to retire, then more than likely there is someone aspiring to grow that is a local shareholder in this group. Merge with this entity and then when you are ready to retire, succession planning is already sorted out. Payment is sorted out, with a group that has the cash and pay market-related prices. You also have the upside of growth while consolidating before you retire.

They operate in the IRBA and normal Accounting space. They have fees in the R200m per annum range currently, however you won't drown as you will be part of the local office, and they give a lot of autonomy to the local operators. As a very experienced buyer and merger firm, they have the know-how to offer you a great opportunity. They have a very specific culture and is not you typical corporate look and feel operation.

They have a few requirements, and they are:

  • They would like to merge their accounting firm, with someone, Downstream to consolidate their position.
  • They would like to merge Downstream with firms in all areas to establish a presence there, they have over 30 offices, not always transparent because they slowly change branding in a given office so as to preserve the goodwill of the previous owners.
  • They are looking at any size of the firm, we have done a small R400,000 transaction, and various other sizes up to R18m for them already.
  • The firm has numerous shareholders and also has a succession plan set up and is exiting overtime giving new partners after a merge an opportunity to grow their equity stake. Therefore the incoming partner can also be younger aspiring partners while the older partners is retiring over time.
  • Their model caters for strategic exiting partners that are older and want to find a home for their firm to allow them an exit over the next few years in a structured manner with an upside and upfront and trailing payments.
